2. Scope
These Terms & Conditions apply to the use of this website and, where incorporated into an agreement between EmpowerHer Digital and a client, to the provision of our services.
Individual services may also be governed by a proposal, order form, service agreement, statement of work or other written agreement between EmpowerHer Digital and the client.
Where an individual written agreement contains provisions that differ from these Terms & Conditions, the provisions of the individual agreement take precedence for that engagement.
3. Our Services
Depending on the agreed scope, EmpowerHer Digital services may include:
- Reactivation of existing leads and customer databases
- AI-assisted lead follow-up
- Lead qualification
- Appointment and meeting booking
- Automated response and communication workflows
- Sales process support and automation
- CRM and workflow configuration
- Related digital consulting and implementation services
The exact scope of an engagement is determined by the individual agreement with the client.
4. Performance-Based Services
Certain EmpowerHer Digital engagements may be offered on a performance-based basis with no upfront campaign fee.
The specific performance event, fee, calculation method, attribution rules, invoicing trigger and payment terms will be defined in the individual client agreement.
Unless expressly agreed otherwise in writing, references on this website to performance-based pricing or no upfront fees do not create a universal pricing commitment and do not override the commercial terms agreed for a specific client engagement.
5. Client Responsibilities
Successful delivery of our services requires the client's cooperation. The client is responsible for providing accurate information and the access, materials and approvals reasonably required to perform the agreed services.
This may include:
- Providing the agreed lead or customer data
- Providing accurate information about products and services
- Providing necessary CRM or system access
- Reviewing and approving messaging where required
- Appointing an appropriate contact person
- Responding to qualified opportunities in a timely manner
Delays or failures caused by missing information, access, approvals or other client dependencies may affect the performance and timing of the services.
6. Client Data and Legal Compliance
The client remains responsible for ensuring that personal data supplied to EmpowerHer Digital has been collected lawfully and may lawfully be used for the agreed purpose and communication channels.
In particular, the client is responsible for establishing and documenting any consent or other legal basis required for the use of its customer or lead data and for electronic communications.
The client must not provide EmpowerHer Digital with data that it is not legally entitled to process or use for the agreed campaign.
Where EmpowerHer Digital processes personal data on behalf of a client, the parties may enter into a separate Data Processing Agreement where required by applicable data protection law.
7. AI and Automated Technology
Our services may use artificial intelligence, automation and third-party software to assist with lead engagement, qualification, follow-up, routing and appointment scheduling.
Automated systems may generate or deliver communications based on configured instructions, workflows and information provided by the client.
AI and automated systems are not infallible. Outputs may occasionally be incomplete, inaccurate or require human review.
Our services are designed to support business processes and sales teams. They do not replace the client's responsibility for commercial decisions, customer relationships or the final sales process.
8. Third-Party Platforms
Our services may depend on third-party platforms and providers, including CRM, communications, hosting, scheduling, AI and automation providers.
These may include HighLevel / GoHighLevel and other providers required for the agreed implementation.
Third-party services may be subject to their own terms, availability and technical limitations.
EmpowerHer Digital is not responsible for outages, changes, restrictions or failures caused solely by third-party platforms outside our reasonable control.
9. Fees, Invoicing and Payment
Fees and payment terms are determined by the individual agreement with the client.
Where services are performance-based, invoices will be issued according to the agreed performance event and attribution method.
Unless otherwise agreed in writing, all stated business prices are exclusive of applicable VAT or other taxes.
Invoices are payable within the payment period specified on the relevant invoice or individual agreement.
10. No Guarantee of Specific Commercial Results
EmpowerHer Digital will provide the agreed services with reasonable professional care.
However, commercial results depend on numerous factors outside our control, including the quality and age of the client's database, the client's offer, pricing, market conditions, customer demand, lead responsiveness and the client's own sales process.
Unless expressly guaranteed in an individual written agreement, we do not guarantee a specific number of replies, appointments, sales or amount of revenue.
Any examples, projections, calculator outputs, demonstrations or potential results shown on this website are illustrative and should not be interpreted as a guarantee of future performance.
11. Intellectual Property
Unless otherwise agreed in writing, EmpowerHer Digital retains all rights in its pre-existing intellectual property, methodologies, workflows, automation structures, prompts, templates, processes, know-how and other proprietary materials.
The client retains ownership of its own business information, trademarks, content, customer data and other materials supplied to EmpowerHer Digital.
Any rights granted to a client in deliverables created specifically for that client will be determined by the individual agreement.
Nothing in these Terms transfers ownership of EmpowerHer Digital's underlying systems, methods or intellectual property unless expressly agreed in writing.
12. Confidentiality
Each party shall treat confidential business, technical and commercial information received from the other party as confidential and shall not disclose it to third parties except where necessary to perform the agreed services or where disclosure is required by law.
This obligation does not apply to information that is already publicly available through no breach of confidentiality, was lawfully known before disclosure, or was independently obtained from a lawful third-party source.
13. Availability and Changes to Services
We aim to provide our services reliably but cannot guarantee uninterrupted availability of websites, software platforms, communications infrastructure or third-party systems.
We may make reasonable changes to technical implementations, tools or workflows where necessary to maintain, improve or securely provide the agreed service, provided that the essential nature of the agreed service is not materially reduced.
14. Term and Termination
The duration and termination provisions for a client engagement are determined by the individual agreement.
Either party may have additional statutory termination rights where applicable.
Obligations that by their nature are intended to continue after termination, including confidentiality, intellectual property, outstanding payment obligations and applicable data protection requirements, remain in effect as appropriate.
15. Liability
EmpowerHer Digital is liable without limitation where liability cannot lawfully be excluded or limited, including liability for intent and gross negligence and for injury to life, body or health.
In cases of ordinary negligence, liability shall be limited, to the extent permitted by law, to breaches of material contractual obligations and to damages that were reasonably foreseeable and typical for the relevant agreement.
Mandatory statutory liability remains unaffected.

We make reasonable efforts to keep the information on this website accurate and current. However, website content is provided for general information and may be changed or updated from time to time.

Client-specific processing arrangements may additionally be governed by a Data Processing Agreement.
18. Governing Law
These Terms & Conditions and contractual relationships with EmpowerHer Digital are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules to the extent legally permissible.
Where the client is a merchant, legal entity under public law or special fund under public law, the place of jurisdiction shall be the competent court for EmpowerHer Digital's place of business, to the extent permitted by law.
19. Changes to These Terms
We may update these Terms & Conditions where reasonably necessary to reflect changes to our services, technology or applicable legal requirements.
Changes to an existing client engagement will only apply in accordance with the relevant agreement and applicable law.
